BUSINESS PARTNER’S CODE OF CONDUCT

Introduction
The relationship between the Company (hereinafter called as “Zenatix ”) and its business stakeholders/ external partners is an integral part of achieving and maintaining high performance in the company. Zenatix is committed to working with business partners that share its dedication to ethical business conduct.
Scope of Standards
Zenatix’s business partner Code of Conduct (CoC) apply to all of its third-party representatives, channel partner’s, distributors, stockiest, suppliers, vendors, and subcontractors (collectively herein called as “Business Partners” in this document). All business partners must review, understand, adhere and uphold Sustainability Core Values and Trust Charter under all circumstances.
The following CoC set forth our expectations regarding our Business Partner’s practices:
1. Ethical Business Conduct:
To meet social responsibilities, business partners are expected to conduct their business in an ethical manner and to act with integrity. Ethical requirements listed in our Trust Charter includes the following aspects:
a. Business Integrity
Our business partners must operate with honesty and integrity. You must not engage in offering any form of bribery, paying kickbacks/ facilitation payments, any form of incentives or giving anything of value to secure an unfair advantage, whether in dealings with government officials, political parties, or individuals in the private sector.
Partners are expected not to offer Company’s employees with any gifts or other kind of personal benefits, loans, favor etc. In case if you receive any such request, you are required to report the same through below stated compliance Trustline.
b. Prohibition on Child Labour, Forced Labour and No form of discrimination
Partners must provide a workplace free from discrimination, harassment, or any type of abuse to its employees.
Company prohibits the use of child labor in any of their operations.
All forms of forced or compulsory labor, such as prison labor, bonded labor, or indentured labor, are forbidden in any operations. Forced overtime and human trafficking are also strictly prohibited.
c. Fair Competition
Partners will conduct their business in line with fair competition and in accordance with all applicable anti-trust laws.
d. Privacy & Intellectual Property
Partners will safeguard Company’s confidential/ Intellectual property information and make only appropriate use them as agreed in the normal course of business. Partner will ensure that all employees’ and business partners’ privacy and valid intellectual property rights are protected.
e. Conflict of Interest
Partner confirms that they have revealed all information pertaining to possible conflicts of interest arising from other positions or contracts held by them and represents that no conflict of interest exists.
Partner shall disclose to the Company any future circumstances which could create possible conflicts of interest as soon as they become known by them. Without limiting the generality of the foregoing, Partner shall inform Company of any business relationship, circumstance, or situation which could prejudice in any way the conduct of Company’s marketing activities according to the highest ethical and business standards or place Partner or Company in any kind of disreputable or embarrassing situation. Business partner represents that it is not an employee, officer, or representative of any government or any agency or other instrumentality of any government, or of any political party.
Partner also confirms that they will not recruit or onboard any of the Company’s employee or their family members as an employee or as an investor/ business partner into their or affiliate organization/ entity.
f. Anti Bribery & Anti Corruption
Partner confirm that they have a written policy covering compliance with anti-bribery laws (e.g. Foreign Corrupt Practices Act (FCPA), UK Bribery Act) and/or otherwise will follow Anti Bribery and Anti-corruption laws as applicable and modified from time to time.
Partner shall not engage in any corrupt practice directly or indirectly (business agents, consultants etc) and shall disclose to Company any future circumstances that could be deemed as a corrupt practice.
2. Environment, Health & Safety:
Company is committed to protecting the environment, and environmental responsibility is at the core of how we operate. Business partners shall develop, implement, and maintain environmentally responsible business practices.
a. Environmental Hazards
Business partners shall identify, manage, reduce and control risk of environmental hazards from their operations like Air Emissions, Water Pollution and use of hazardous substances.
b. Pollution prevention
Business partners shall obtain all required regulatory environmental permits (e.g. discharge monitoring), approvals and registrations, wherever applicable. These must be maintained and kept current. Partners are expected to implement a systematic approach to identify, manage, reduce, and responsibly dispose of or recycle solid waste.
c. Energy consumption and Green House Gas (GHG) emissions
Business partners encouraged to look for cost-effective methods to improve energy efficiency and to minimize their energy consumption and greenhouse gas emissions.
d. Working Conditions
Business partners shall apply employee relations practices. Working hours, wages, benefits must be consistent with local laws and regulations, including those pertaining to minimum wages, overtime, other elements of compensation and legally mandated benefits.
e. Health & Safety
Workers health and safety well-being is important to the Company . Partners shall provide and maintain a safe work environment and integrate sound health and safety management practices into their business.
Your employees shall have the right to refuse unsafe work and to report unhealthy working conditions. Partners shall provide workers with appropriate personal protective equipment where hazards cannot be adequately controlled by other means and properly maintain physical guards, interlocks and barriers where machinery presents an injury hazard to workers.
Partners shall commit to have no deviation to health and safety local regulations.
Onsite training on workplace Health and Safety must be done in their primary language. Ready access to potable water, sanitary food preparation and clean toilets are also to be provided. If the partners are providing their employees with any housing or food facility, they need to ensure the said facility is maintained/ provided with decent and hygienic standards.
3. Sustainability & Compliance Commitment:
Company may conduct announced on-site inspections of partner premises to monitor compliance with the said standards.
Business partners shall communicate this code of conduct to their own suppliers/ partners, who are engaged for Company’s work and shall monitor their compliance. Company reserves the right to organize jointly with the Service Provider an audit of its supplier.
Partners will communicate the provisions of these Partner Standards to those employees engaged in providing products or services to Company .
4. Mandatory Reporting of Violations:
Partners who become aware of any actual or potential violation of the said Standards, Anti-Corruption and Anti-Bribery laws, and/or any other applicable law, are required to report them to the Company Compliance Helpline, [email protected]
Partners will not be subject to retaliation from Company for any report of a suspected violation that is made in good faith, even if it later turns out to be factually incorrect. However, knowingly providing false or misleading information will not be tolerated.
